The Crystal Lakes Open Space Conservancy is a 501 (c) (3) nonprofit corporation organized and operated for thepurpose of managing and enhancingCrystal Lakes Open Space, developing and administering funding sources for Open Space and TrailsStewardship, and contracting with professional services to ensure best practices in forest and open spacemanagement and mitigation.
The objects and purposes of the Corporation and the nature of the business to be carried onby it are:
A.To operate a conservancy organization dedicated to thepreservation, restoration, protection and enhancement of the open spaces, trails, and mountain parks locatedin the Crystal Lakes Community, Larimer County, Colorado. In particular, the Conservancy will:
(1)collaborate with the local community entitiesand governments to raise money and resourcesfor the Conservancy’spurposes;
(2)developeducationalresourcesforthebenefitofthe Crystal LakesCommunity and its members regarding open space preservation, restoration and management practices;
(3) seek to foster and instill a passion in community members of all ages and backgrounds for openspaces and other natural resources that make Crystal Lakes Community and its trails, open spaces, andmountain parks a beautiful and vibrant region;
(4) seek to create and foster an environment in whichall community members feel safe and welcome to participate and collaborate with respect to the executionof the Conservancy’s mission.
B.To work with other not-for-profit organizations that are qualified under Section 501 (c) (3)of the Code to further the purposes of the Corporation.
C.In general, to carry on any other business connected with or incidental to the foregoingobjects and purposes and to have and to exercise all the powers conferred by the laws of the State ofColorado upon corporations formed under the Act.
D.To invest, reinvest or deal with the principal or the income thereof in such a manner as inthe judgment of the Corporation’s Board of Directors (the “Board”) which will promote the purposes of theCorporation without limitation, except such limitations, if any, set forth in the instrument pursuant to whichsuch property is received, these Articles of Incorporation (the “Articles”), the Bylaws of the Corporation(the “Bylaws”), or any laws applicable thereto.
E.To receive and administer funds for charitable, mitigation, grants, and educationalpurposes withinthe meaning of Section 501 (c) (3) of the Code.
F.To operate at all times in a manner that will assure the qualification of the Corporation asan organization described in Section 501 (c) (3) of the Code.
G.To the extent that any of the foregoing objects and purposes fail to qualify as properpurposes for an exempt organization under Section 501 (c)(3) of the Code, then theBoardisherebyauthorized to take such action as is necessary to amend or remove those objects and purposes from theseArticles.
H.To do any act or thing incidental orconnected with the foregoing purposes or an advancement thereof, but not for the pecuniary profit or financial gain of any director serving on the Board or any officers of the Corporation, except to the extent any such person is performing employment related services on behalf of the Corporation.
